Mission

As part of the Global Legal team, you partner with and guide the corporate operations for all the entities of the Group and in an international context, by providing excellent quality legal transactional support on corporate matters worldwide, ensuring that legal risk is minimized and Expleo assets are protected. You are providing pro-active, professional, competent, (cost) effective and creative legal support.

 

You are responsible for the management of the portfolio of Group companies: day-to-day operations and portfolio assets such as: approval of accounts, formalities, incorporation of companies, but also the dissolution, liquidation, modifications of articles of association, appointments, TUPs, splits, mergers, disposals, etc. More generally, you accompany the movement of simplification of the Group.

 

You also contribute to advising, assisting, coordinating and monitoring of operations in Group's subsidiaries, managing the firms in charge of the legal secretariat of foreign subsidiaries; development, management, follow-up of intra-group agreements and delegations of powers within the Group, implementation of tools, legal monitoring in corporate law.

 

You are also involved in other areas such as external development and growth operations (M&A): due diligence, drafting of deeds, etc.), regulatory compliance, to foster best practices and develop legal awareness (legal training to business and delivery).

 

You detect/collect the needs of the business, build solutions and actively contribute to the Global Legal initiatives and Group Legal Strategy. You formulate new templates, checklists to meet the business requirements and also aid the legal department to simplify the corporate/legal processes. You develop and manage good working relationships with all business partners and stakeholders.

 

You ensure effective Group Legal Strategy implementation and contribute to various legal projects which may occur within the Group. You provide added-value legal advice, continuous improvement of standard terms, conditions, policies, processes, and systems within the legal function.

 

You directly report to the Global Legal Center Head in Romania and functionally to the Group Corporate Counsel Lead based in France.

Qualifications

  • Graduation or post-graduation in Law and successful experience in company law of minimum 3-5 years within an international and multi-entity environment within a legal direction, ideally in the industry sector.
  • Excellent commercial and business awareness, with a strong professional ethic, and the energy, interest and training to pursue a wide array of matters. 
  • Strong record on dealing with corporate, compliance, risk management matters.
  • In addition to a high-degree of technical expertise in matters of companies, regardless of the type of operation, main qualities are as follows: diplomat with a strong set of interpersonal skills; marked sensitivity for finance; excellent writing skills; perfect command of business legal English and French both orally and in writing; excellent skills in mastering office tools; able to work in a fast-paced and very challenging environment.
  • Strong focus on Legal Operations (legal design, KPIs…)
  • Legal skills combined with an ability to take strategic view on the challenges and issues facing the business.
  • Hands-on and ability to work with multi-disciplinary team.
  • Excellent organizational skills with attention to detail and high degree of accuracy, together with ability to manage several simultaneous projects under deadline pressure.
  • Ability to analyze legal implications of various issues and advise internal stakeholders and executive management on it.
  • Solution-focused, business orientation. Pragmatic.
